I am running it that way, and it was a pain to get working ;)  The first 
  thing you need to consider is that you really wont be able to dual 
boot since the XP sees the different hardware and need to be 
reactivated, and after 3 times you have to call microsoft, etc (if there 
is a way around this I'd love to know).

Brad was right about the ACPI issue and your blue screening, see this 
article on how to get around that:

The other big trick is that VMWare needs access to your boot partition, 
or you'll see some crazy "99 99 99 99 99" error from lilo.  To give 
vmware READ ONLY access to this partition, you need to manually edit the 
  extent description part of the winXPPro.vmdk file in your vm config's 
directory.  This is what mind looks like:
